Thomas Cook India (TCIL) and Sterling Holiday Resorts (SHRL) will continue to operate their technology and digital platforms independently even after the demerger, said Mahesh Iyer, Managing Director and CEO, TCIL.

Thomas Cook India (TCIL) and Sterling Holiday Resorts (SHRL) will continue to operate their technology and digital platforms independently even after the demerger. As such, there was no shared or common technology infrastructure between the two companies and therefore, the restructuring will have no impact on their IT systems. Notably, on March 20, 2026, TCIL announced the demerger of its Resorts and Resort Management business into Sterling Holiday Resorts.
Mahesh Iyer, Managing Director and CEO, TCIL speaking to FE FUTECH said, “Sterling was a fully operating hospitality company even before TCIL acquired it and operated with its own individual technology platforms and resources. As part of the TCIL Group, they expanded rapidly and continued to invest in technology to back their growth plans in the expanding domestic hospitality space. These obviously have been based on their specific Hospitality focus versus TCIL's travel and forex focused technology needs. The technology platforms and solutions of SHRL and TCIL are therefore independent and as such, there are no common technology platforms or implications as a result of this demerger.”
Digital Transformation Roadmap
In an earlier conversation with FE FUTECH in January, commenting on the company’s future plans, Neeraj Singh Dev, Executive Vice President & Head - E Commerce and Domestic & Short Haul Holidays - Thomas Cook (India) Limited & SOTC Travels said, “Our focus will remain on deepening digital transformation and enhancing customer experience through scalable, intelligent solutions.
We aim to strengthen personalization across channels, expand automation to improve operational efficiency, and leverage advanced AI capabilities for real-time engagement and predictive insights. Additionally, we will continue to invest in voice and conversational platforms, enrich self-service tools for both B2C and B2B customers, and build robust data analytics frameworks to support dynamic pricing and demand forecasting.
These initiatives are aligned with our commitment to a seamless, digital-first ecosystem that drives efficiency, customer satisfaction, and sustainable growth.”
TCIL, in FY24–25, completed its technology transformation journey, which comprised consolidating disparate systems to make them work as a single unit, said the company.
TCIL-SHRL Demerger
Based on a recommendation by the audit and independent committee, the board of TCIL gave an in-principle approval to a proposal for the demerger of the company’s Resorts and Resort Management business into SHRL and a subsequent capital restructuring of TCIL. The proposed demerger and restructuring are subject to NCLT and other regulatory approvals.
TCIL owns and operates 6 resorts directly under the brand name Nature Trails. The company will demerge this business into SHRL as part of the demerger.
